Stock Purchase Agreement- Proof of Ownership

Answered by:

Question:
A client is presenting a stock purchase agreement to show he is an owner of a corporation. We require filed documents from Secretary of State to show ownership or that the individual is in a capacity such as president, VP, etc. Can a stock purchase agreement be used to prove he is the owner of the business?
Answer:

Without reading the agreement, knowing what sort of corporation this is and the laws in the State in which the corporation was formed and most likely the rest of the corporate documents (i.e., Articles of Incorporation, etc.), nobody can answer your question. You need to sit down with your legal counsel.
