I am wondering what others require for the customer to bring in when opening a Corporate account. Do you request they bring in a copy of the meeting minutes from the Board of Directors showing who it was decided will be signing on the account or a copy of their resolution? I know for LLC's and Partnerships we require outside documents such as the Operating and Partneship agreement. We have them sign a resolution we create and the signature card but what do you require showing they have the authority to be opening this accout?

Banks require a corporate resolution, either one they present or on a form that the bank provides. Most new account platforms have standard documents available.

We do complete a resolution when opening business accounts. I am wondering if we complete the resolution and they sign it what is proving who has actual authority from the Board of Directors of the corporation?

We get a copy of the company's articles/by-laws that spell out the officer duties and Board minutes where officers have been named.

We complete a resoltion and then verify the corporation on the MA state corporations division's website. If the information on the website matches the resolution then we go no further. If not we ask for articles of incorporation or board minutes showing the adding/removing of officers
