This is my first post, so bear with me.

We have a Corporation account with only one signer on the signature card. However, in the Articles of Incorporation it does state there is a president who is not a signer on our sig card. This president is now calling the bank and requesting the current signer be removed from the account as he is no longer with the company. How would you proceed?

My first reaction is to request all new documentation, filed with the state (by the way, we're in California). Also, it is not an option to have the current signer come in to close the account or remove his name on his own accord.

In California you do NOT file amended Articles whenever there is a change in corporate officers. In this case you need the corporation to provide you with a new resolution signed by the secretary of the corporation which spells out the changes to the authorized signers (i.e., who is removed and who is being added).

If the corporation has any concern about a removed signer acting improperly with respect to the corporate bank account, then it might make sense for the corporation to close its existing account and open a new account.

Thanks for the feedback.

In this case, the resolution we have on file lists the curent signer as the secretary. Could I request from the corporation a new filed statement of information which lists the new secretary, ceo, cfo, etc... then make the change?
